Jess A. Bahs
|
Mr. Bahs focuses his practice in business law (corporate and limited liability company), tax law and related litigation, and estate planning. He has experience in handling mergers, acquisitions and divestitures, as well as tax planning, tax opinions, and Tax Court litigation. His business-related work includes forming and liquidating companies, resolving corporate and LLC governance issues, handling disputes between owners, protecting minority shareholders and LLC members, succession planning, and general negotiation and drafting of business contracts.
Mr. Bahs has written extensively and is a frequent speaker on tax and business planning issues, including Michigan Partnerships, LLCs and LLPs; Buying and Selling Businesses in Michigan; and Federal Tax Procedures and Practice in Michigan. Mr. Bahs was recently a speaker for the Institute of Continuing Legal Education, where he conducted a presentation to other Michigan attorneys on the subject of formation and tax issues with Michigan limited liability companies. Mr. Bahs is also an adjunct professor for Cooley Law School’s LLM in Tax program, where he teaches business planning with an emphasis in corporate and LLC (partnership) tax matters.
He is a graduate of Michigan State University, receiving a B.S., with honors, in 1989, and received both a J.D. (1992) and a LL.M. in Taxation (1998) from Wayne State University Law School. Mr. Bahs is admitted to practice in Michigan, the U.S. District Courts for the Eastern and Western Districts of Michigan, and the U.S. Tax Court.
He is on the council governing the tax section of the State Bar of Michigan and was previously the chair of the Practice and Procedure Committee for that section. Mr. Bahs received Saginaw County Bar Association’s Pro Bono Award in 1996. In addition, Mr. Bahs is the upcoming President of the Tax section of the Michigan Bar Association.
